INTRODUCTION TO TERMS AND CONDITIONS OF USE OF SURE HOPE COUNSELING CLINIC WEBSITE, PRODUCTS AND SERVICES.
We advise that you read the terms and conditions(Agreement) of use of SURE HOPE COUNSELING CLINIC’s Website and Services before taking any step on the use of this website, any further click or use is deemed to mean that you have wholly accepted the terms and conditions of use of SURE HOPE COUNSELING CLINIC’s Website and Services which may also mean, include or refer to but not limited to our Privacy Policy, policies, laws, regulations, Notices and “Agreements with third parties” and you are therefore bound by the said Terms and Conditions.
DEFINATION OF TERMS
The terms “we”, “us” ,”our”, and ”THE ORGANIZATION” refer to SURE HOPE COUNSELING CLINIC The term “client”, “you” and “your” refers to the customer visiting our website, placing orders for our books, materials, registrations for online courses, online exams, online giving of certificate, online registration with the organization, online application for the organization job, online volunteering for the organization and counseling services through us or otherwise using any of our counseling services, principal or supplier, Supplier refers to provider of products and services that are not directly supplied by us but may be through us or by our website, An ‘Order’ means any order for products or services you make on our Site paid or not which is accepted by us.
SERVICE FEE
We reserve the exclusive right to charge service fees which cover the costs incurred by the SURE HOPE COUNSELING CLINIC’s in your orders and servicing your online requests and it is not subject to negotiations but it’s at our sole discretion.
THIRD PARTY SERVICE PROVIDERS
SURE HOPE COUNSELING CLINIC provides Clients with books, materials, registration for online courses, online exams, online giving of certificate, online registration with the organization, online application for the organization job, online volunteering for the organization and counseling services and/or other services either itself or is acting as intermediary for products and services that are not directly supplied by us (e.g., referral to other bodies connected to our services). We are not a co-vendor of such products and services. You will be entering into a separate contract with such Suppliers in connection with such products and services. In such situations we only act as agents for disclosed principals.
SURE HOPE COUNSELING CLINIC may or may not provide the terms and conditions of all the Principals relevant to the service being provided for the Client. It’s the Client’s responsibility to familiarize themselves with such terms and conditions (‘the Principal’s Conditions’).
DEPOSITS, PAYMENT AND PRICES
Any deposits from you are non-refundable except if otherwise provided in any of our other agreement with you as a client. Payment of a deposit for any of our activities as described above enables us to hold a reservation for you but does not guarantee the price. The price can only be guaranteed once we receive full payment for order placement for our books, materials, registration for online courses, exam and counseling services, etc subject to any terms and conditions of the Supplier. We will advise you of the date that full payment is required. Upon your provision of your payment information, you are authorizing us to make the payment arrangements with the corresponding Suppliers which may include our payment gateway suppliers but yourself and us shall be bound by their terms and conditions of the payment services being provided for us.
We reserve the right to refuse personal checks as a method of payment. After full payment, the conditions of the contract with your Supplier may permit them to increase the cost of your arrangements which we may or may not inform you of. If we have arranged a package, changes in costs including the cost of fuel, taxes, fees and exchange rates mean that the price of your requested services may change after you have paid in full.
DOCUMENTATION
Our general practice is to send documents to our customers electronically whenever possible. We reserve the right to charge an administration fee should you make a request for such documents to be sent as a hard copy or refuse sending hard copy at all.
OBSERVANCE OF ALL LEGAL OBLIGATIONS
The person(s) requesting for any of our services personally of for another or on behalf of whom any of our services are rendered, is deemed to have read and accepted the Terms and Conditions and to have the authority and Legal Capacity to do so on behalf of the person in whose name any of our services is requested and/or provided and/or the person to whom the services are rendered (collectively referred to as ‘the Client(s)’).
You agree to be bound by the following obligations, including without limitation:
You accept financial responsibility for all transaction made under your name or account.
You must be 18 years of age or over and have legal capacity.
You warrant that all information you provide about yourself or members of your household shall be true and accurate.
The Website must not be used for speculative, false or fraudulent requests.
The transmission of threatening, defamatory, pornographic, political, or racist material or any material that is otherwise unlawful is expressly prohibited.

It is hereby expressly agreed that you will only use our website or services to make legitimate request, orders or purchases and shall not make speculative, false or fraudulent orders or orders in anticipation of demand. By using any our services and website, You( which shall be deemed to include your heirs, executors, administrators or assigns) agree to indemnify us and our affiliates, and any of our Suppliers, and any such parties’ officers, directors, employees and agents from and against any claims, causes of action, demands, losses, damages, or other costs, (including all legal and accounting fees) brought by you or third parties as a result of (a) your breach of this Terms and Conditions (Agreement), (b) your violation of any law or rights of any third party in connection to this Terms and Conditions, or (c) your use of our website.

You consent to our processing and sharing of personal information about you and other members of your party that you have provided to us in accordance with the terms and conditions and for the purposes set forth in our privacy policy. If the Client requests or instructs us to affect order/bookings via the internet or our website, the Client irrevocably authorizes us to do the following on his behalf: (1) make any selections of and for the Proposed services (2) make payment of a order/booking and ancillary services and (3) accept all the order/booking terms and conditions.
INTELLECTUAL PROPERTY

We are acting as an independent service provider and no joint venture, partnership or employment relationship exists between you and us or our Suppliers as a result of this Agreement or your use of our website.

In the event that you make any alteration to your order/booking (including, but not limited to, cancellations, refunds, amendments and name changes), SURE HOPE COUNSELING CLINIC reserves the right to charge you and administration fee to cover the administration costs incurred by SURE HOPE COUNSELING CLINIC you will also be liable for any charges imposed directly by the Services Supplier.
SURE HOPE COUNSELING CLINIC will not be liable to you for any compensation if forced to cancel or make any changes to your order/ services requested for as a result of events outside our control and which neither or SURE HOPE COUNSELING CLINIC or its Service Suppliers could reasonably foresee. Events outside our control include: war; threats of war; government intervention terrorism; riots; civil unrest; natural and nuclear disasters; fire; actual or potential weather conditions; health risks; industrial disputes; technical problems with transport; closed; and any force majeure events.
TAXES FLUCTUATE IN LINE WITH EXCHANGE RATES: if you pay by credit card, payment for your services maybe taken directly by the organization. If there are any problems with your payment, we will contact you within 48 hours of your order/booking. SURE HOPE COUNSELING CLINIC will not be liable for any subsequent price increase as a result of payment failure. Any price increase must be paid for by you before the order/booking can be confirmed. Please note that the service payment and payment to SURE HOPE COUNSELING CLINIC for any other product or SURE HOPE COUNSELING CLINIC charges will appear as separate transaction of your credit card statement.
Where SURE HOPE COUNSELING CLINIC is liable for direct loss this will be limited to a maximum of the total price of the products or services in respect of which a claim is made. SURE HOPE COUNSELING CLINIC will not be liable for any indirect or consequential loss of any kind in contract, tort or otherwise arising out of your use of this Site or any of the travel products or services booked or purchased on the Site.

The Client agrees that no joint venture, partnership, employment, or agency relationship exists between the Client and SURE HOPE COUNSELING CLINIC as a result of this agreement or use of this Website.
SURE HOPE COUNSELING CLINIC’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of SURE HOPE COUNSELING CLINIC’s right to comply with law enforcement requests or requirements relating to the Client’s use of this Website or information provided to or gathered by SURE HOPE COUNSELING CLINIC With respect to such use.
If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the terms and conditions shall continue in effect.
This agreement (and any other terms and conditions referenced herein also mean, include or refer to but not limited to our Privacy Policy, Notices and “Agreement) constitutes the entire agreement between the customer and SURE HOPE COUNSELING CLINIC’s (except where otherwise stated or expressly agreed) with respect to this Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the customer and SURE HOPE COUNSELING CLINIC with respect to this Website. Any rights not expressly granted herein are reserved for SURE HOPE COUNSELING CLINIC.
All the terms and conditions displayed on this Website constitute the entire terms of the relationship between the parties. There exist no other terms, conditions, warranties, representations, guarantees, promises, undertaking or inducements of any nature whatsoever (whether verbal, written or electronic) regulating the relationship and the Client acknowledges that he/she has not relied on any matter or thing stated on behalf of SURE HOPE COUNSELING CLINIC or otherwise that is not included herein.
In the event that you decided not to abide by the terms and conditions which you have agreed to with us in respect to our services by pressing legal claims against us, and where you failed in your claim or withdrew the claim or it was struck out you shall be liable to pay us all the costs of the said litigation, damages for the inconvenience and time expended in the course of defending such suit to the tune of 5 million naira for the high court, for appeal additional 5 million naira and where you decided to appeal to the supreme court, additional 10 million naira.
